Terms of Service
Last Updated: June 12, 2026
Welcome to Kastrick.
These Terms of Service ("Terms") govern the professional relationship between Kastrick ("we," "us," or "our") and any individual, business, organization, or entity ("Client," "you," or "your") that purchases or uses our services.
By requesting, purchasing, commissioning, or continuing to use any service provided by Kastrick, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue the use of our services.
These Terms apply to all projects, quotations, maintenance agreements, managed infrastructure, and future services unless otherwise agreed in writing.
1. Services
Kastrick specializes in designing, developing, deploying, and maintaining custom digital infrastructure. Depending on the agreed project scope, services may include, but are not limited to:
- Custom website design and frontend development
- Backend software development

- Database architecture and management
- Business email provisioning and configuration
- DNS configuration and domain routing
- Server deployment and cloud infrastructure
- Hosting management
- Website migrations
- Security hardening
- Performance optimization
- Ongoing maintenance and support
- Technical consulting
Every project is unique. The exact deliverables, timelines, technologies, and scope of work will be defined in the applicable quotation, proposal, invoice, statement of work, or other written agreement between Kastrick and the Client.
2. Quotations & Project Scope
Every quotation or proposal issued by Kastrick defines the agreed project scope.
Unless otherwise stated in writing, any request that changes, expands, or replaces the originally agreed functionality shall be treated as additional work.
Examples include, but are not limited to:
- Additional webpages
- New user interfaces
- New API endpoints
- Third-party integrations
- Dashboard additions
- Business workflow changes
- Database restructuring
- Design revisions
- Feature enhancements
- Hosting migrations
Additional work may require revised pricing, updated timelines, or a separate project agreement.
3. Project Fees & Payment
Professional software engineering requires significant planning, architecture, implementation, testing, deployment, and post-deployment support.
Project pricing is determined individually based on the scope, complexity, estimated engineering effort, infrastructure requirements, and requested services.
The agreed project pricing will be specified in the applicable quotation, proposal, invoice, or written agreement provided to the Client.
Unless otherwise agreed in writing, pricing does not automatically include future feature development, redesigns, migrations, or ongoing maintenance beyond the agreed project scope.
3.1 Payment Schedule
Unless otherwise agreed:
- A project deposit is required before work begins.
- Development work will not commence until the required initial payment has been received.
- The remaining balance becomes due prior to final delivery, deployment, or transfer of administrative control.
- Kastrick reserves the right to pause development until overdue invoices have been settled.
3.2 Maintenance Deposit
Where applicable, a portion of the initial project payment may be designated as a Maintenance Deposit.
The Maintenance Deposit functions as prepaid service credit that may be used toward future maintenance, troubleshooting, support, bug corrections, content changes, infrastructure management, and other approved maintenance requests.
As maintenance work is completed, the applicable charges are deducted from the remaining Maintenance Deposit balance.
The Client may request the current Maintenance Deposit balance at any time.
Once the Maintenance Deposit has been exhausted, any additional work will be billed according to Kastrick's current maintenance pricing or another mutually agreed quotation before work begins.
Unused Maintenance Deposit balances are non-transferable unless otherwise agreed in writing.
3.3 Payment for Additional Work
Work that falls outside the agreed project scope is billed separately.
Depending on the nature of the request, pricing may consist of:
- Fixed-price quotations
- Hourly engineering rates
- Project-based pricing
- Maintenance pricing
Pricing varies according to the complexity, engineering effort, estimated completion time, infrastructure requirements, and overall scope of the requested work.
No additional work will begin until the Client has approved the applicable quotation or pricing arrangement.
3.4 Credential Release
Until all outstanding invoices have been paid in full, Kastrick reserves the right to withhold administrative credentials, deployment files, DNS access, repository ownership transfers, production server access, encryption keys, and other privileged administrative resources associated with the project.
Nothing in this section limits the Client's ownership rights established elsewhere within these Terms following complete payment.
4. Maintenance & Support
If the Client enters into an ongoing maintenance agreement or possesses an available Maintenance Deposit, Kastrick will provide maintenance services according to the agreed service arrangement.
Maintenance services are intended to preserve the stability, reliability, availability, and security of deployed systems.
Maintenance may include:
- Server monitoring
- Infrastructure health checks
- Security updates
- Bug diagnosis
- Performance improvements
- Backup verification
- SSL management
- Email service maintenance
- Database optimization
- General troubleshooting
Maintenance services are performed using commercially reasonable efforts and are subject to scheduled maintenance windows, third-party provider availability, and circumstances beyond Kastrick's reasonable control.
4.1 Developer Errors
If a software defect results directly from an implementation error made by Kastrick within the originally agreed project scope, Kastrick will correct the issue without additional charge.
This applies only to defects arising from the delivered implementation and does not include modifications requested after project acceptance.
4.2 Client Requests
Requests that modify, extend, replace, redesign, or otherwise expand the original project are considered additional work.
Examples include:
- Creating new pages
- Website redesigns
- Updating branding
- Layout revisions
- Content updates
- Legal document revisions
- Feature additions
- New API development
- Database redesign

Such requests may range from low-complexity administrative changes to high-complexity engineering projects.
Applicable pricing, estimated completion times, and implementation details will be communicated before work begins.
4.3 Service Availability
Kastrick strives to maintain reliable and stable hosted infrastructure.
While commercially reasonable efforts are made to maximize service availability, uninterrupted operation cannot be guaranteed.
Temporary interruptions may occur due to:
- Scheduled maintenance
- Security updates
- Cloud provider incidents
- Internet service disruptions
- Hardware failures
- Force majeure events
- Circumstances beyond Kastrick's reasonable control
Where practical, maintenance affecting production systems will be scheduled to minimize disruption.
4.4 Third-Party Services
Certain projects may rely on third-party providers including, but not limited to:
- Domain registrars
- Cloud hosting providers
- Email providers
- CDN providers
- DNS providers
- Payment processors
- Analytics services
- External APIs
Unless expressly stated otherwise in a written agreement, fees charged by these third-party providers remain the responsibility of the Client.
Kastrick is not responsible for outages, policy changes, pricing adjustments, service discontinuations, or technical failures caused by independent third-party providers.
5. Intellectual Property
5.1 Ownership of Client Deliverables
Subject to full payment of all outstanding invoices and contractual obligations, the Client receives ownership of the custom deliverables specifically created for their project.
Such deliverables may include, where applicable:
- Website frontend designs
- Custom backend application code

Ownership transfers only after all outstanding invoices have been paid in full.
5.2 Kastrick Intellectual Property
Nothing within these Terms transfers ownership of Kastrick's pre-existing intellectual property.
Kastrick retains all rights, title, and interest in its existing technologies, reusable software components, frameworks, libraries, deployment systems, templates, internal tools, utilities, automation scripts, development methodologies, security mechanisms, DevOps workflows, coding standards, and proprietary engineering practices.
These components may be reused, modified, improved, licensed, or incorporated into future projects without restriction.
5.3 Third-Party Software
Some projects may incorporate software, libraries, frameworks, fonts, icons, plugins, APIs, or other components created by third parties.
Ownership of such components remains with their respective owners and continues to be governed by their applicable licenses.
The Client agrees to comply with all applicable third-party licensing requirements where relevant.
5.4 Open Source Components
Where appropriate, Kastrick may utilize open-source software to improve compatibility, reliability, performance, or development efficiency.
Nothing within these Terms modifies or replaces the licenses governing those open-source components.
6. Confidentiality
Both Kastrick and the Client acknowledge that confidential information may be exchanged during the course of a project.
Confidential information includes, but is not limited to:
- Business strategies
- Internal documentation
- Source code
- Server credentials

- Non-public project information
Neither party shall disclose confidential information to unrelated third parties except:
- with written authorization;
- where reasonably necessary to provide the agreed services;
- where disclosure is required by law or a valid legal process.
These confidentiality obligations survive the completion or termination of the project.
7. Client Responsibilities
The Client agrees to:
- provide accurate project requirements;
- review submitted work within a reasonable period;
- provide requested content, assets, and approvals promptly;
- maintain lawful rights to all supplied content;
- comply with applicable laws and regulations;

- distribute malware, ransomware, spyware, viruses, or other malicious software;
- transmit spam or unsolicited bulk communications;
- conduct phishing campaigns or fraudulent activities;

Kastrick reserves the right to suspend or terminate services where continued operation would violate applicable law, threaten infrastructure security, or expose Kastrick or other clients to unreasonable risk.
9. Data Processing & Privacy
Where Kastrick provides backend infrastructure, hosting, database management, or related technical services, Kastrick acts solely as a technical service provider processing data on behalf of the Client.
Unless otherwise required by law or specifically authorized by the Client, Kastrick does not access, review, analyze, sell, or commercially exploit Client Data.
Client Data remains the property of the Client.
If the Client independently contracts with third-party providers that are not supplied, provisioned, or managed by Kastrick, the collection, storage, ownership, and processing of data by those providers are governed solely by the applicable third-party agreements.
Nothing within these Terms overrides or replaces Kastrick's separate Privacy Policy.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Kastrick provides its services on an "as is" and "as available" basis.
Although Kastrick follows commercially reasonable engineering and security practices, no software system can guarantee uninterrupted availability, complete security, or error-free operation.
Accordingly, Kastrick shall not be liable for indirect, incidental, consequential, exemplary, punitive, or special damages, including but not limited to:
- loss of profits;
- loss of business opportunities;
- loss of goodwill;
- interruption of business operations;

11. Indemnification
The Client agrees to indemnify and hold harmless Kastrick, its owners, developers, contractors, and affiliates against claims, damages, liabilities, losses, costs, and reasonable legal expenses arising from:
- unlawful use of the delivered services;
- infringement of third-party intellectual property by materials supplied by the Client;
- unlawful content uploaded by the Client;
- misuse of hosted infrastructure;
- violations of applicable laws by the Client.
Kastrick similarly warrants that custom software developed directly by Kastrick will not knowingly infringe valid third-party intellectual property rights.

- protect infrastructure or network security;
- investigate suspected abuse or unlawful activity;

- address unpaid invoices in accordance with the applicable service agreement.
Where reasonably practicable, Kastrick will provide advance notice before a planned suspension.

The Client may terminate ongoing services by providing written notice to Kastrick.
Termination does not eliminate the Client's responsibility to pay for:
- work already completed;
- approved project milestones;
- outstanding invoices;
- third-party costs incurred on the Client's behalf;
- services performed before termination.
Project deposits or prepaid service credits are subject to the applicable quotation or service agreement.

Kastrick may terminate or refuse continued services if the Client:
- materially breaches these Terms;
- repeatedly fails to pay invoices when due;
- requests unlawful or fraudulent activity;
- abuses Kastrick personnel;
- intentionally compromises hosted infrastructure;
- repeatedly violates the Acceptable Use Policy.
Termination under this section does not waive Kastrick's right to recover unpaid fees or pursue other legal remedies available under applicable law.
12.4 Data Following Termination
Upon termination of managed services, Kastrick will make commercially reasonable efforts to provide the Client with available exports or backups of Client Data where technically feasible and where the Client has fulfilled all outstanding contractual obligations.
Unless otherwise required by law or agreed in writing, Kastrick may permanently remove hosted Client Data and associated backups after a reasonable retention period following termination.
13. Force Majeure
Kastrick shall not be liable for any delay, interruption, or failure to perform obligations caused by circumstances beyond its reasonable control.
Such circumstances include, but are not limited to:

14. Modifications to Services
Kastrick continually improves its services, infrastructure, development practices, and operational procedures.
Accordingly, Kastrick reserves the right to modify, replace, discontinue, or enhance services where reasonably necessary.
Such modifications will not materially reduce services already purchased without reasonable notice unless immediate action is required for security, legal compliance, or operational stability.
15. Changes to these Terms
Kastrick may update these Terms from time to time to reflect changes in:
- applicable laws;
- business operations;
- technical infrastructure;
- service offerings;
- security practices.
The updated version will become effective upon publication unless otherwise stated.
Continued use of Kastrick's services after revised Terms become effective constitutes acceptance of the updated Terms.
16. Entire Agreement
These Terms, together with any applicable quotation, proposal, invoice, maintenance agreement, project specification, statement of work, or other written agreement between Kastrick and the Client, constitute the entire agreement regarding the applicable services.
If a written project agreement expressly conflicts with these Terms, the written project agreement will govern only to the extent of that specific conflict.
17. Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
The invalid provision shall be interpreted, where possible, in a manner that most closely reflects its original intent while remaining legally enforceable.
18. No Waiver
A failure or delay by Kastrick in exercising any right or remedy under these Terms shall not constitute a waiver of that right or remedy.
Any waiver must be made expressly and in writing.
19. Assignment
The Client may not assign or transfer any rights or obligations under these Terms without Kastrick's prior written consent.
Kastrick may assign or transfer its rights and obligations where reasonably necessary in connection with business restructuring, mergers, acquisitions, or transfers of business operations.
20. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the State of Gujarat, India, without regard to conflict of law principles.
Unless otherwise required by applicable law, any dispute arising out of or relating to these Terms or the services provided by Kastrick shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad or Gandhinagar, Gujarat, India.
